These Terms of Service ("Terms") govern your access to and use of the Bamzal platform and website (the "Service") operated by Bamzal Ltd. ("Bamzal," "we," "us," or "our"). By installing, accessing, clicking "I Agree," or using the Service, you ("Merchant," "you," or "your") agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service. Sections 10–12 (disclaimers, limitation of liability, and indemnification) limit our liability and allocate risk to you — read them in full. We may require you to re-accept these Terms in the app, including at installation and when we publish a materially updated version.
Bamzal is an autonomous advisory-and-execution service for Shopify stores. It analyzes the store and market and recommends and, where you permit, executes improvements across several "levers" — including product pages and store design, pricing, offers, customer retention, catalog merchandising, and paid advertising across Google Ads, Meta (Facebook & Instagram), TikTok, Pinterest, X, LinkedIn, and Microsoft. The Service integrates artificial-intelligence models and a range of third-party data, advertising, analytics, media-generation, and messaging providers. Available features, integrations, and degree of automation may change over time and may depend on your plan, your configuration, and the platforms you connect.
The Service can operate from advisory-only, to simulated ("shadow"), to actions requiring your approval, to actions that run automatically within limits you configure once a lever has earned that authority through measured performance. By enabling a feature, lever, autonomy level, or connected platform, you authorize the corresponding automated actions on your behalf, including changes to your store and advertising, within the scope and limits you set.
You acknowledge that automated actions can change live aspects of your business — including prices, listings, store content, audiences, and advertising budgets — and can incur advertising spend, and you accept these effects and the associated risks when you enable automation.
To use the Service you must have an active Shopify store, be at least 18, have authority to bind your business to these Terms, provide accurate information, and maintain the security of your credentials. To create campaigns, you must connect your own ad-network accounts via each platform's official OAuth 2.0 authentication (including Facebook Login for Business for Meta). Bamzal operates as a Tech Provider acting on behalf of the business clients who authorize such access.
The Service and its output are provided for general informational and operational purposes only and are not professional advice (legal, tax, accounting, financial, marketing-compliance, or otherwise). Output is generated wholly or partly by artificial intelligence and may be inaccurate, incomplete, outdated, or unsuitable; forecasts and "estimated" results are inherently uncertain and are not promises of any result. You are solely responsible for reviewing, verifying, and deciding whether to rely on or apply any output, and for ensuring that campaigns, creatives, claims, targeting, and landing pages comply with applicable laws and each platform's policies, even where created or suggested by the Service.
You agree not to use the Service to: violate any law or the policies of Shopify or any connected platform; create misleading, deceptive, fraudulent, or prohibited advertising or content; interfere with or disrupt the Service, its security, rate limits, or kill-switches; reverse engineer, decompile, or extract the source code or underlying models except as permitted by law; access accounts you do not own or are not authorized to manage; or resell or redistribute the Service without our written consent.
Business use & compliance. The Service is for your business and professional use only, not consumer use; consumer-protection laws applicable to consumer transactions do not apply except where mandatory. You represent that you and your business are not located in, organized under, or resident in a comprehensively sanctioned or embargoed country or territory, are not on any government restricted-party or denied-party list, and will not use the Service in violation of applicable export-control, sanctions, or anti-bribery laws.
The Service interoperates with Shopify and many third-party platforms, AI models, data sources, media tools, analytics, and messaging providers (a current list of categories appears in our Privacy Policy). Your use of any third-party service is governed by that provider's own terms, and we are not responsible for their availability, accuracy, pricing, policy changes, data practices, account reviews or suspensions, or any act or omission. The Service — including its software, models, design, and the Bamzal name and branding — is our intellectual property. You retain ownership of your store data and content; ad copy and creatives generated for you are yours to use, subject to these Terms and to the terms of any model or media provider and third-party rights.
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free; that output or data will be accurate, complete, or current; or that the Service will achieve any particular result, including any increase in traffic, conversions, sales, revenue, or return on ad spend.
You knowingly assume the risks of using the Service, including the risk that output is wrong or that an automated action, error, or bug produces an unintended or adverse result, and that financial loss may follow.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAMZAL LTD. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS, OPPORTUNITY, DATA, OR ADVERTISING SPEND, OR FOR BUSINESS INTERRUPTION, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY. THIS INCLUDES LOSSES ARISING FROM OUTPUT OR ADVICE, FROM ANY BUG, ERROR, DEFECT, OR INTERRUPTION, FROM AUTOMATED ACTIONS, FROM ADVERTISING SPEND, FROM PRICE OR CONTENT CHANGES, FROM DATA LOSS, AND FROM THE ACTS OR OMISSIONS OF ANY THIRD-PARTY SERVICE.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL SUBSCRIPTION FEES YOU ACTUALLY PAID US FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD 100). ADVERTISING SPEND, THIRD-PARTY CHARGES, AND TAXES ARE EXCLUDED FROM THIS CAP AND ARE NOT RECOVERABLE FROM US.
Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you; in such cases our liability is limited to the maximum extent permitted by law. Nothing here excludes or limits liability that cannot be excluded or limited by applicable law — including liability for fraud or fraudulent misrepresentation, willful misconduct, gross negligence, death or personal injury caused by negligence, or any non-waivable statutory rights.
You agree to defend, indemnify, and hold harmless Bamzal Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service and any automated action you authorized; (b) your store data, content, products, prices, advertising, and the personal data you process through the Service, including claims by your customers or third parties; (c) your violation of these Terms or of any law or of any Shopify or connected-platform policies; or (d) your infringement of any third-party right.
You may stop using the Service at any time by uninstalling the Shopify app. We may suspend or terminate your access if you violate these Terms, if required by Shopify, a connected platform, or law, to protect the Service or others, or if we discontinue the Service. Upon termination your right to use the Service ends; campaigns created in your ad accounts remain under your control; your data is handled per our Privacy Policy; and outstanding subscription fees through the current billing period remain payable. Provisions that by their nature should survive (including Sections 5, 6, 9, 10, 11, 12, and 15) survive.
We are not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, war, civil unrest, labor disputes, governmental action, internet or utility failures, security incidents, or the failure, change, or outage of any third-party service.
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-laws rules. The competent courts located in Israel have exclusive jurisdiction over any dispute, except that we may seek injunctive relief in any court of competent jurisdiction. The parties will first attempt in good faith to resolve disputes informally by contacting us. To the extent permitted by law, each party waives any right to participate in a class, collective, or representative action; where such a waiver is not enforceable under applicable law (for example, under Israeli class-action law or mandatory consumer-protection rules), it does not apply and the parties retain their rights under that law.
We may modify these Terms at any time. Material changes will be communicated by posting the updated Terms and updating the "Last updated" date, and where appropriate by requesting your in-app acceptance. Continued use after changes take effect constitutes acceptance.
If any provision is found unenforceable, it will be limited or severed and the remaining provisions continue in effect. Where applicable law (such as the GDPR) requires a controller-processor agreement, our Data Processing Addendum (DPA) is incorporated by reference and governs our processing of personal data on your behalf. These Terms, together with our Privacy Policy and any plan-specific terms you accept, constitute the entire agreement between you and Bamzal Ltd. regarding the Service.
